Website Development Terms and Conditions

1. Quotation and Pricing

All quotations are valid for 30 days from the date of issue. Pricing is based on project scope and costs at the time of submission. Offshore Digital reserves the right to adjust pricing where there is a significant change to project scope, requested functionality, or costs. Any variation will be discussed and agreed upon in writing before additional work proceeds.

2. Payment Structure

A 40% deposit is required prior to work commencing. The remaining 60% is due before the website goes live. All deposits are non-refundable once work has commenced. Work may be paused if payments are delayed.

3. Additional Costs

Any required third-party costs — such as plugins, software licenses, hosting, domains, stock images, or subscription tools — are at the client’s expense. Offshore Digital will not incur additional costs without written approval from the client.

4. Client Responsibilities

The client agrees to provide all required text, images, branding, and approvals in a timely manner. Delays in providing content or feedback may impact delivery timelines. Offshore Digital is not responsible for missed deadlines caused by client delays.

5. Project Scope and Revisions

Each project includes a reasonable number of design and development revisions within the agreed scope. Requests beyond the initial scope — including new features, additional pages, or major design changes — will be quoted separately.

6. Ownership and Intellectual Property

All design, code, and creative assets remain the property of Offshore Digital until full payment is received. Upon final payment, ownership of the completed website transfers to the client, excluding any third-party software, licensed plugins, or proprietary tools used in development.

7. Launch and Handover

The website will be launched once the final balance has been paid and client approval received. Post-launch hosting setup, email configuration, or training services are not included unless specifically quoted.

8. Ongoing Maintenance and Updates

Unless a maintenance plan is purchased, Offshore Digital’s responsibility ends once the website is live. Routine updates, security patches, content changes, and technical support are billed separately at the current hourly rate or under an agreed monthly maintenance plan.

9. Ongoing SEO and Marketing Services

If ongoing SEO, Google Business optimisation, or content marketing is included, these are billed on a recurring basis (monthly or quarterly). Results depend on factors beyond Offshore Digital’s control, including algorithm changes, competition, and client-provided content. Clients may cancel SEO services with 30 days’ written notice. Work completed up to the end of the notice period will be invoiced.

10. Subscription and Renewal Services

Where Offshore Digital manages recurring services such as hosting, domains, plugin licenses, or premium subscriptions, these are billed to the client annually or monthly at the current rate. Failure to renew may result in service interruption or loss of functionality. Offshore Digital accepts no responsibility for downtime or data loss caused by expired third-party services.

11. Liability and Warranty

Offshore Digital will take reasonable care to ensure the website functions as intended at launch. However, we cannot guarantee uninterrupted or error-free operation due to third-party factors such as hosting, browsers, or platform updates. Liability for any claim is limited to the total amount paid for the project.

12. Termination

Either party may terminate the project in writing. If terminated, the client will be invoiced for all work completed up to that point. Deposits are non-refundable once work has begun. Upon termination, Offshore Digital retains ownership of any unfinished work until payment in full is received.
